  1. THE LEARNING COMPANY, INC. LICENSE AGREEMENTSINGLE-USER PRODUCTS
  2. This is a legal agreement between you (either an individual or an 
  3. entity) and The Learning Company, Inc. ("The Learning Company").  
  4. BY OPENING THE SEALED PACKAGES CONTAINING THE DISKS OR BY USING 
  5. THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. 
  6. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, AND YOU ARE 
  7. THE ORIGINAL PURCHASER OF THE SOFTWARE, PROMPTLY RETURN THE 
  8. SOFTWARE (INCLUDING PRINTED MATERIALS) TO THE PLACE WHERE YOU 
  9. PURCHASED THEM FOR A FULL REFUND.
  10. THE LEARNING COMPANY SOFTWARE LICENSEGRANT OF LICENSE.  This License Agreement permits you 
  11. to use one copy of The Learning Company software (the "Software"), 
  12. which may include electronic documentation, on a single computer/
  13. workstation. The Software is "in use" on a computer when it is 
  14. loaded into the temporary memory (i.e. RAM) or installed into 
  15. permanent memory (e.g. hard disk, CD-ROM drive or other storage 
  16. device) of that computer.  You may not use the software on or over 
  17. a network or any other transfer device without each concurrent user 
  18. having an original copy of the Software and its documentation.
  19. COPYRIGHT.  All intellectual property rights in the Software 
  20. (including all animations, audio, images, maps, music, photographs, 
  21. video, and text incorporated into the Software) are owned by The 
  22. Learning Company, its suppliers and licensors, and are protected by 
  23. United States copyright laws and international treaty provisions. 
  24. The Learning Company, its suppliers and licensors retain all rights 
  25. not expressly granted. You must treat the Software like any other
  26. copyrighted material, except that you may either make one copy of 
  27. the Software solely for backup or archival purposes or transfer 
  28. the Software to a single hard disk provided you keep the original 
  29. solely for backup or archival purposes. You may not copy the 
  30. printed materials accompanying the Software.  You may not loan, 
  31. rent or lease the Software, but you may transfer your rights under 
  32. this Agreement on a permanent basis provided you transfer the 
  33. license granted by this Agreement, the Software and all associated 
  34. printed materials, and retain no copies, and the recipient agrees 
  35. to the terms of this Agreement.  You may not reverse engineer, 
  36. decompile or disassemble the Software, except to the extent that 
  37. this restriction is expressly prohibited by applicable law.  You 
  38. may not distribute printed copies of any user documentation 
  39. provided in electronic format.  The restrictions contained herein 
  40. apply equally to hybrid CD-ROMS which may contain multiple versions 
  41. of the Software for use on different operating systems.  Regardless 
  42. of the type of media you receive, you may use only the portion 
  43. appropriate for your single-user computer/workstation. LIMITED 
  44. WARRANTYThe Learning Company, its suppliers and licensors
  45. warrant that the media on which the Software is distributed 
  46. are free from defects in materials and workmanship for
  47. a period of ninety (90) days from the time of receipt.
  48. ANY AND ALL OTHER IMPLIED WARRANTIES WITH RESPECT TO THE
  49. SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS, INCLUDING 
  50. BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND 
  51. FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED TO NINETY (90) DAYS.
  52. REMEDIES.  Your exclusive remedies shall be, at The Learning 
  53. Company's sole option, (a) the refund of the amount you paid for 
  54. the Software or (b) repair or replacement of the Software provided 
  55. that (i) the defective Software is returned to The Learning Company 
  56. or an authorized dealer within ninety (90) days from the date of 
  57. purchase and (ii) you have completed and returned the enclosed 
  58. registration card. This Limited Warranty is void if failure of 
  59. the Software has resulted from accident, abuse, or misapplication.  
  60. Any replacement Software will be warranted for the remainder of the 
  61. original warranty period or thirty (30) days, whichever is longer.
  62. LIMITATION OF LIABILITIES.  IN NO EVENT WILL THE LEARNING COMPANY, 
  63. ITS SUPPLIERS AND LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, 
  64. INCIDENTAL, ECONOMIC, COVER OR CONSEQUENTIAL DAMAGES ARISING OUT 
  65. OF THE USE OF OR INABILITY TO USE THE SOFTWARE, USER DOCUMENTATION 
  66. OR RELATED TECHNICAL SUPPORT, INCLUDING WITHOUT LIMITATION, DAMAGES 
  67. OR COSTS RELATING TO THE LOSS OF PROFITS, BUSINESS, GOODWILL, DATA 
  68. OR COMPUTER PROGRAMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH 
  69. DAMAGES. IN NO EVENT WILL THE LEARNING COMPANY, ITS SUPPLIERS' AND 
  70. LICENSORS' LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. 
  71. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION 
  72. OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE 
  73. LIMITATION MAY NOT APPLY TO YOU. U.S. GOVERNMENT RESTRICTED RIGHTS
  74. U.S. GOVERNMENT RESTRICTED RIGHTS.  The Software and user 
  75. documentation is provided with RESTRICTED RIGHTS AND LIMITED RIGHTS. 
  76. Use, duplication or disclosure by the Government is subject to 
  77. restrictions as set forth in subparagraph (c)(1)(ii) of the Rights 
  78. in Technical Data and Computer Software clause at DFARS 252.227-7013 
  79. or subparagraphs (c)(1) and (2) of the Commercial Computer Software--
  80. Restricted Rights at 48 CFR 52.227-19, as applicable. The Learning
